CNCCC International Tendering Co., Ltd. , a wholly-owned subsidiary of China National Offshore Oil Corporation (CNOOC), (hereinafter referred to as “the Procurement Agency ”), entrusted by CSPC   Huizhou   Polycarbonate  Project(hereinafter referred to as “ Procuring Entity(Company/Purchaser) ”), intends to  organize an International Competitive Bidding for the  purchase  of the Goods and the relevant services required under the  project of   CSPC   Huizhou   Polycarbonate  Project . Bidders are kindly requested to submit their electronically sealed bids for  the following Goods and S ervices.

1.    招标条件   Preconditions for Solicitation

项目概况：中海壳牌****有限公司（以下简称 “ 中海壳牌 ” ）拟在广东****区新建中海壳牌惠州三期乙烯项目，以实现其打造世界级、高度一体化的石化基地的愿景。

Project Summary ： CNOOC and Shell Petrochemical Company Limited (hereinafter referred to as “CSPC”) intends to build CSPC Huizhou Phase 3 Ethylene Project in Daya Bay Petrochemical Industrial Park, Huizhou, Guangdong Province to realize the vision of creating a world-class and highly integrated petrochemical base.

TOC 分析仪的性能应满足下列要求：

示值误差：不超过 ±5% （相对误差）；重复性：优于 2% ；无机碳去除率：＞ 95% ；分析仪自动每月至少进行一次零点校准和量程校准，校准时间间隔应可调；内置自动清洗程序和手动清洗功能。

The performance of the TOC analyzer should meet the following requirements:

Indication error: no more than ± 5% (relative error); Repetition: better than 2%; Inorganic carbon removal rate: > 95%; The analyzer automatically performs zero-point calibration and range calibration at least once a month. The calibration interval should be adjustable; Built-in automatic cleaning program and manual cleaning function.

3.  对投 标人的资格和业绩要求

Requirements for Qualification s  and t he Past Performance  of the Bidder:

（1 ）资格要求 Requirements for Qualifications of the Bidder  

A.  如果投标人为中国****公司，投标人需具有合法有效的企业法人营业执照、税务登记证及组织机构代码证或证照合一的营业执照，投标时需提供原件扫描件（原件备查）；

If the B idder is a company registered within the territory of China, it shall possess a legally valid B usiness L icense of an enterprise legal person, T ax R egistration C ertificate, and O rganizational C ode C ertificate, or a unified business license combining these certificates. When submitting the bid, the B idder shall provide a scanned copy of the original document (with the originals kept available for verification).

如果投标人为中国****公司，需提****公司登记注册证明；

If the B idder is a company registered outside the territory of China, it shall provide a valid certificate of company registration.

投****公司的，需具有合法有效的营业执照（ 境内注册 ）/ 公司登记注册证明（境外注册）和上级法人单位:****（****公司投标和签订合同），投标时需提供原件扫描件（原件备查）。

If the B idder is a branch company, it shall possess a legally valid business license (for those registered within China) / certificate of company registration (for those registered outside China) and an authorization letter from the superior legal entity (authorizing the branch to bid and sign contracts). When submitting the bid, the branch shall provide scanned copies of the original documents (with the originals kept available for verification).

招标人****公司和上级法人单位:****、资格和业绩，不认可同一上级法人单位****公司的资质、资格和业绩。分公司与上级法人单位:****，同时参与投标的，投标均无效。

The qualifications, eligibility and performance of the branch and its superior legal entity shall be recognized  by the Procuring Entity(Company/Purchaser) , while the qualifications, eligibility and performance of other branches under the same superior legal entity shall not be recognized. Only one of the branch and its superior legal entity may participate in the bid; if both participate in the bid, all their bids shall be  regarded as  invalid  bids .

B.  本次招标不接受代理商投标。 投标人应为TOC 分析仪 制造商或 TOC 分析仪集成系统的制造商（包括制造商所在集团内负****公司） 。 若投标人非TOC 分析仪本体制造商，须取得所投 TOC 分析仪的制造商的有效授权书。 如果投标人是制造商所在集团内负****公司，应提供声明，说明投标人与制造商隶属同一集团，负责投标货物的销售工作。

C.  （ Bid by Agent is not accepted. The bidder shall be the manufacturer of the TOC analyzer  or  the manufacturer of the TOC analyzer integrated system(including the sales company within the same group as the manufacturer of bid goods) . If the bidder is not the manufacturer of the TOC analyzer itself, it must obtain a valid authorization letter from the manufacturer of the TOC analyzer it is bidding for. . If the Bidder is a company in charge of sales within the manufacturer's group, a statement should be provided indicating that the Bidder and the manufacturer belong to the same group and are responsible for the sale of the bid Goods. ）

（2 ）资质要求 Requirements of Qualification

TOC 分析仪应满足询价文件中爆炸危险区域防爆要求，防爆等级不低于 IIC T4 ，投标时提供分析仪的本体防爆证书。

The TOC analyzer should meet the explosion-proof requirements for explosive hazardous areas as stipulated in the inquiry document, with an explosion-proof grade of no less than IIC T4, and provide the explosion-proof certificate of the analyzer itself.

（ 3 ）业绩要求 Requirement for Bidder's P ast Performance :

2015 年 1 月 1 日至投标截止日（以合同签署时间为准）， 投标人所投 投标文件应同时满足以下业绩要求（可接受以下两项要求同时体现在一个合同）：

1 ）所投 TOC 分析仪的制造商应具有至少 2 个合同的 TOC 分析仪的供货业绩，且单个合同供货数量不少于 5 台；

2 ） TOC 分析仪系统集成的制造商 应 具有至少1 个合同的 TOC 分析仪系统集成的供货业绩。

From January 1, 2015 to the bid submission deadline (based on the contract signing date), the bid documents submitted by the bidders should simultaneously meet the following performance requirements (it is acceptable for both of the following two requirements to be reflected in one contract) :

1) The manufacturer of the TOC analyzer being bid for should have at least 2 supply performances of TOC analyzers, and the supply quantity per contract should be no less than 5 units;

2) The manufacturer of the TOC analyzer system integration should have at least 1 supply performance of TOC analyzer system integration.

投标人须按规定格式提交业绩表，并提交相关业绩证明文件。业绩证明文件包括： 1 ）销售合同 ； 2 ）用户签字或盖章的到货验收材料（ 全额结算发票或 到货验收单或调试验收报告或其他可以证明合同项下货物已经到货验收的有效证明材料）。

The bidder shall submit the Performance Form in the specified format and provide the relevant performance certification documents. The performance certification documents include: 1) Sales contracts; 2) Goods Arrival Acceptance signed or stamped by the client (i.e. F ull S ettlement I nvoice , or,   Arrival Acceptance Form, or, Commissioning Acceptance Report, or other valid certifications that can prove the goods under the contract have passed the arrival acceptance).

同一集团全球范围内不同制造商（即同一集团旗下****公司****公司或制造工厂）制造的TOC 分析仪 的业绩，视为所投TOC 分析仪的制造商的业绩；投标人应提供说明函，说明本次所投 TOC 分析仪的制造商与满足上述业绩要求的产品制造商属于同一集团。

The performance of the TOC analyzer  submitted by different manufacturers within the same group (i.e., wholly-owned subsidiaries, holding subsidiaries or manufacturing plants under the same group) is regarded as the performance of the manufacturer of the TOC analyzer  submitted by the bidder; the bidder should provide an explanatory letter to state that the manufacturer of the TOC analyzer submitted in this bid and the manufacturer of the TOC analyzer meeting the above performance requirements belong to the same group.

投标人所提交的业绩证明文件必须至少体现以下内容：合同签署时间、合同签署页（国内贸易合同应有双方盖章，国际贸易合同应有双方签字或盖章）、 制造商名称、 货物名称、 仪表系统集成或供货数量 、用户签字或盖章的到货验收材料 。

The performance certification documents submitted by the bidder must include at least the following contents: the contract signing date; the contract signature page ( China domestic trade contracts shall be s tamped  by t he buyer and the seller , while international trade contracts shall be signed or s tamped  by t he buyer and the seller ); n ame of manufacturer ;   the name of the goods;   the quantity of the instrument system integration supply ; and the goods arrival acceptance signed or   stamped  by the c lient .

若业绩合同为年度协议，除提供年度协议外，还应提供相应的已到货订单，订单内容或编号应与年度协议相关联。同一个年度协议下 ， 提供1 个或以上的订单及与订单对应的到货验收材料 ， 均 视 为1 个有效业绩。

If the contract is an annual framework agreement, in addition to the   agreement  itself , the corresponding Purchase   O rder (s) (PO)(under which the goods were delivered ) shall also be provided, and the purchase order content or PO number ing  shall be associated with the annual framework agreement. Under the  same annual framework agreement, one or more purchase orders and the ir  arrival acceptance c ertificate(s)  corresponding to the orders shall be deemed as one valid performance.

未提交业绩证明文件，或通过所提供的业绩证明文件无法认定满足上述业绩要求的，均 被 视为无效业绩。

Failure to submit the past performance certification documents, or inability to confirm that the above performance requirements are met through the performance certification documents  so provided, shall be deemed as invalid performance.

For  the  first-time login  to the platform , registration is mandatory (free of charge). The registration method must be " 自主注册公开招标 "   ( Self- R egistration for P ublic B idding ). Choosing  other registration methods will result in a registration failure. Only after successful registration can a  bidder purchase the S olicitation D ocuments.

投标人须在线填写 “ 购买招标文件登记表 ” ，并在线支付标书款 。 支付成功后，投标人可自行下载招标文件。招标文件每套售价为人民币200 元或 25 美元，售后不退。 文件发售费用用于印刷和邮寄招标文件/ 资格预审文件 。 有邮寄需求的请在支付时备注收件人相关信息。

The bidder is requested to fill in the " 购买招标文件登记表 "  ( Registration Form for Purchasing S olicitation  Documents ) online and pay the document fee online. After successful payment, the bidder can download the Solicitation   D ocuments by themselves. Each set of t he Solicitation   D ocuments is priced at 200 Renminbi yuan or 25   US  dollars , and the fee is non-refundable after purchase. Th i s  fee is used for printing and mailing the solicitation   d ocuments/   p re - qualification d ocuments.
